Terms of Service Effective: [date] ยท Operated by CryptoZing LLC

Welcome to CryptoZing, a Bitcoin invoicing service run by CryptoZing LLC. CryptoZing ("the Service") is beta software โ€” use it for low-stakes invoices first; it isn't built to be relied on for production-critical or high-value payment workflows. By creating an account or using the Service, you agree to these Terms. If you don't agree with them, please don't use the Service.

1. Your account. You must be at least 18 and able to enter a binding contract. You're responsible for activity under your account, for keeping your credentials secure, and for maintaining a valid email address you control. You're responsible for your own conduct and for following any laws that apply to you. If you're using the Service on behalf of an organization, you represent that you have authority to bind it, and "you" includes that organization. You represent that you aren't on any U.S. government sanctions list and aren't located in a country or territory subject to comprehensive U.S. sanctions. If you think someone has accessed your account without permission, notify us promptly (Section 16). We may stop serving an account we reasonably believe is compromised; that affects Service access only โ€” your bitcoin stays in your own wallet.

2. CryptoZing is non-custodial. You acknowledge that:

  • CryptoZing never takes custody of your bitcoin and cannot hold, control, move, or access your funds, keys, or seed phrase;
  • CryptoZing detects payments by watching the blockchain through a public account key (xpub) you connect;
  • the xpub also lets CryptoZing see that account's receive history and balance โ€” not just invoice payments โ€” as covered in our Privacy Policy; and
  • payments go directly from your customer's wallet to an address you control, so CryptoZing cannot send, freeze, refund, or reverse any payment.

CryptoZing isn't a party to the transactions you invoice: payment obligations, and any dispute about them, are between you and your customer. Public invoice pages show information you provide and payment data observed on the blockchain, for convenience only.

3. Your keys and funds are your responsibility. Because the Service is non-custodial, you alone are responsible for your wallet, keys, and seed phrase, including backups. If you lose them, your funds are unrecoverable and there is nothing we can do. CryptoZing does not ask for your private keys or seed phrase โ€” anyone who does is trying to scam you. You're responsible for verifying addresses, amounts, and payment statuses before relying on them.

4. Not financial, tax, legal, or investment advice. CryptoZing is an invoicing tool, not an advisor. Nothing in the Service is advice, and any amounts or rate estimates it shows are for convenience, not a recommendation. Your decisions are your own. You're responsible for determining and paying any taxes that apply to your transactions; amounts and rates the Service displays aren't tax records.

5. No warranty on rates, payments, or the network. CryptoZing depends on the Bitcoin network and third-party data outside our control. We don't guarantee the accuracy of any rate or amount we display, the timing or finality of any payment, network fees, or that any payment will confirm. You accept these risks when you use the Service.

6. Acceptable use. You agree to use CryptoZing only for lawful purposes, and not to use it to facilitate illegal activity, defraud anyone, violate others' rights, or abuse or interfere with the Service or its infrastructure. We may limit or suspend access we consider abusive, unlawful, or a threat to the Service or other users.

7. Your content; our software. You keep all rights to the data you put into CryptoZing โ€” your invoices, customer details, and business information remain yours. You grant CryptoZing the permission needed to host, store, back up, process, transmit, and display that data to operate and provide the Service โ€” including through third-party providers we use to run it โ€” and for no other purpose. You're responsible for the data you provide and confirm you have the right to provide it, including any customer details. CryptoZing's software, name, logo, and design are ours or our licensors'; these Terms grant you no right to reuse, copy, or resell them. If you send us feedback or suggestions, we can use them without restriction or obligation to you.

8. Beta service: availability, changes, and bugs. The Service is provided on an as-available basis. We don't promise any uptime, and we may change, interrupt, or discontinue the Service, in whole or in part, at any time, with or without notice. Being beta, it may contain bugs or behave unexpectedly, and we don't promise to fix any issue or to add, keep, or maintain any feature. Your bitcoin is always in your own wallet, but your records in CryptoZing are not โ€” and we don't guarantee against loss of data, so you're responsible for keeping your own copies of anything you need.

9. Stopping and termination. You can stop using CryptoZing and delete your account at any time. Deleting your account removes your data from the Service โ€” your profile, wallet configuration, invoices, and payment records โ€” and any links you've shared to your invoices stop working. We can't remove data other users hold about their dealings with you, or records we keep as a party to a transaction โ€” such as payments made to CryptoZing โ€” or are required to retain. We may limit, suspend, or terminate your access at any time, in our sole discretion โ€” including for a violation of these Terms or if we stop offering the Service. Because the Service is non-custodial, ending your access doesn't touch your bitcoin โ€” your funds are always in your own wallet.

10. No warranties โ€” as is / as available. The Service is provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, title, and non-infringement. We don't warrant that it will be uninterrupted, secure, error-free, or fit your needs. You use it at your own risk. Where some warranties can't be disclaimed by law, this applies to the fullest extent permitted.

11. Limitation of liability. To the fullest extent permitted by law, CryptoZing LLC, its direct and indirect owners, and its employees, contractors, and agents won't be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, goodwill, or bitcoin โ€” including funds lost, stolen, sent in error, or unrecoverable due to lost keys, third-party wallets, the Bitcoin network, or your own actions. We're not liable for delays or failures caused by events beyond our reasonable control. Our total liability for any claim relating to the Service, under any legal theory โ€” contract, tort (including negligence), or otherwise โ€” won't exceed the greater of US$50 or what you paid us in the prior 12 months.

12. Indemnification. You'll indemnify and hold harmless CryptoZing LLC, its direct and indirect owners, and its employees, contractors, and agents from claims, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your content, your violation of these Terms, or your violation of any law or third-party right. We may assume the exclusive defense and control of any matter subject to indemnification by you, with counsel of our choosing, and you agree to cooperate with our defense. You won't settle any claim affecting us without our written consent.

13. Governing law and disputes. These Terms are governed by Arizona law, without regard to conflict-of-laws rules. Any dispute relating to the Service or these Terms will be brought in the state or federal courts in Arizona, and you agree to that venue.

14. Changes to these Terms. We may update these Terms from time to time โ€” for example, to reflect changes to the Service or for legal, regulatory, or security reasons. When we do, we'll give notice: we'll post the updated Terms with a new effective date, and if a change is material we may also notify you through the Service or by email. Changes apply going forward. By continuing to use the Service after we've given notice, you accept the updated Terms; if you don't agree with a change, you can stop using the Service and delete your account at any time.

15. General. If any part is unenforceable, the rest stands. Not enforcing a provision isn't a waiver. These Terms and our Privacy Policy โ€” together with any supplemental policy we introduce with notice under Section 14 โ€” are the entire agreement between you and CryptoZing LLC about the Service. The Privacy Policy explains what data we collect and how we handle it. You can't transfer your rights under them; we may transfer ours in connection with the business.
